Terms and conditions of purchase

This Agreement (the "Agreement") is a contract between you ("you") and Crux Comptoir ("Crux Comptoir", "we", "us", "our" or the "Company") regarding the terms associated with ordering and receiving fresh juice or other products (the "Products") (the "Juice Delivery Service") offered to you through the "cruxcomptoir.com" website, any -domain and any other related platform (including a mobile application) (the “Website” and, together with the Products and the Juice Delivery Service, the “Service”). Please read all of the following terms and conditions carefully before using the Service.

These Terms and Conditions apply to anyone accessing or using our Site, including the Services offered through our Site. Please read these Terms and Conditions carefully before accessing and using our Site. By using our Site, you agree to be bound by these Terms and Conditions. We also recommend that you review our Privacy Policy before using our Site.

We also recommend that you print these Terms and Conditions for your reference. By using our Site or Services, you agree to these Terms and Conditions. If you do not agree to these Terms, do not use our Site or Services.

By accessing the Website, using the Service or clicking "I accept" when creating your Crux Comptoir Account (as defined below) or when purchasing Products, you agree all terms and conditions set forth in the Agreement. If at any time you no longer or cannot agree to the terms of the Agreement, you must cease using the Service by canceling your Membership or Guest checkout as described below.

“Quebec Residents” means residents of Quebec entering into a contract governed by the Consumer Protection Act (Quebec).

Eligibility to Use the Services and Submit Orders

The Services are not intended for persons under the age of 18 and do not target this clientele. By using the Services, you represent and warrant that: a) you are at least 18 years old, b) you have never been the subject of a suspension or a prohibition of use of the Service , and you have not engaged in any activity that may lead to your suspension or exclusion from the Service, c) you do not have more than one account to use the Services (a “Crux Comptoir Account”), and d) you have full power and authority to accept the Agreement and you are not breaching any other agreement you have entered into with a third party by accepting the Agreement.

All prices are presented in Canadian dollars (applicable taxes extra).

Allergies

We stock products that may contain one of the eight main Canadian allergens (mainly tree nuts). We cannot guarantee the absence of cross-contamination with our products. You are solely responsible for your health or for being aware of your food allergies and/or intolerances. It is your responsibility to notify us of any food allergies or intolerances.

HEALTH WAIVER NOTICE

The information contained in the site of Crux Comptoir and/or its subsidiaries has not been evaluated by Health Canada and does not have the objectives of diagnosing, treating, curing or preventing any disease. The information on this website should not be used as a therapeutic modality or substitute for the advice of a healthcare professional. Information presented herein, or information received via telephone or e-mail should not be construed as the practice of medicine. Crux Comptoir is not responsible for the abuse and/or misuse of any product sold by a consumer using this website. Crux Comptoir is also not responsible for any problems or difficulties that may arise due to the consumer's use of the products sold by Crux Comptoir. Customers using this web site, past and future, who do not consult their health care practitioner prior to purchase and subsequent use of any product, assume the risk of all consequences.

Disclaimer of Warranty and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COMPANY'S WARRANTIES AND REMEDIES (IF ANY) EXPRESSLY PROVIDED HEREIN ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, THAT APPLY TO MADE OR BY EFFECT OF LAW, USAGE, ORAL OR WRITTEN STATEMENTS, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES AS TO MERCHANTABILITY, AVAILABILITY, PERFORMANCE, COMPATIBILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, COMPLIANCE WITH DESCRIPTION AND NON-INFRINGEMENT, ALL OF WHICH ARE EXPRESSLY COVERED BY THIS DISCLAIMER.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS SUPPLIERS OR LICENSORS SHALL IN NO EVENT BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR STRICT LIABILITY, FOR INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OF ANY KIND, OR LOSS OF REVENUE OR PROFITS, LOSS OF BUSINESS OPPORTUNITY OR GOODWILL, LOSS OF OR DAMAGE TO INFORMATION OR DATA OR UNAUTHORIZED ACCESS THEREOF OR UNAUTHORIZED DISCLOSURE THEREOF, OR OTHER FINANCIAL LOSSES ARISING FROM THE USE, PERFORMANCE, DEFAULT OR INTERRUPTION OF SERVICE, WHETHER FORESEEABLE OR NOT AND EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF THE COMPANY IS LIABLE TO PAY YOU DAMAGES, THE COMPANY'S TOTAL CUMULATIVE OBLIGATION TO YOU UNDER THE AGREEMENT SHALL NOT EXCEED $100. THE FOREGOING LIMITATIONS ON LIABILITY SHALL NOT BE AFFECTED IF ANY REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE.

Compensation
You agree to defend, indemnify and hold harmless Crux Comptoir, its officers, directors, affiliates, employees and agents from all claims, liabilities, damages, losses and expenses, including reasonable legal and accounting fees, which are in any way related to your access to the Service and the related Crux Comptoir Account, or your use of the Website or the related Crux Comptoir Account.

Amendments
Crux Comptoir may at any time modify the Agreement or any clause of the Agreement, in whole or in part. Any such modification (i) will be communicated to you at least 30 days before its entry into force; (ii) will state only the new term, or the new term together with its old wording; (iii) state the effective date of the change; and (iv) if it increases your obligations or reduces those of Crux Comptoir, will allow you to refuse it and terminate the Agreement without cost, penalty or cancellation indemnity, by sending Crux Comptoir a notice to this effect no later than no later than 30 days after the entry into force of the amendment. To send such a notice, click on "I refuse" when the modification is communicated to you. The refusal of a modification leads to the termination of the Agreement, the automatic deactivation of your Crux Comptoir Account and a refusal of access to the Service.

General terms

The Agreement is governed by the laws of the Province of Quebec, Canada, and the laws of Canada applicable therein, and it will be interpreted in accordance with those laws. The parties hereby irrevocably submit to the jurisdiction of the courts of the district of Montreal, in the province of Quebec.

The Agreement constitutes the entire and exclusive agreement between Crux Comptoir and yourself with respect to the Service, and the Agreement replaces any prior agreement between Crux Comptoir and yourself with respect to the Service, it being understood that the Agreement may be supplemented by the terms of any Special Offer that we may make available to you.

You agree not to assign or otherwise transfer this Agreement or any of your rights or obligations under it to any third party without our prior written consent, which consent is at our sole discretion. No assignment or delegation by you shall discharge or release you from your obligations under the Agreement. Subject to the foregoing, the Agreement binds each of the parties and their respective successors and assigns, and it shall inure to the benefit of each of them and may be executed by each of them. Crux Comptoir has the right to assign the Agreement to a third party without asking for your consent.

Nothing in the Agreement shall constitute a partnership or joint venture between you and the Company.

If any particular provision of the Agreement is declared invalid by a court of competent jurisdiction, it will be deemed severed from the Agreement and will not affect the validity of the Agreement.
